The only additional condition in this case is that I get to play. ;-) Greg Benage Biohazard-FFG Hybrid --- BIOHAZARD GAMES CONFIDENTIAL INFORMATION AGREEMENT THIS AGREEMENT is entered into as of _______________, 2000, between BIOHAZARD GAMES, 2607 Eastwood Drive #61, Columbia, MO, 65202, USA, a Missouri limited liability company, (the "Company"), and ____________________________ ("Promisor"). The parties agree as follows: 1. Purpose. The Company and Promisor wish to (i) explore a business possibility or (ii) obtain feedback about a product of the Company. In order to effect the previous sentence, the Company may disclose its Confidential Information to Promisor, and the Company is unwilling to make such disclosure unless Promisor agrees not to use the Confidential Information for any reason other than exploring the business possibility or providing feedback. 2. Definition. "Confidential Information" as used in this Agreement means all scientific, technical, financial, marketing and business information given by the Company to the Promisor in connection with their discussions and which is identified as being confidential. Promisor acknowledges that the Confidential Information includes certain product concepts and/or market plans not yet disclosed to the public. It is understood that this Agreement is not intended to restrict Promisor's use or disclosure of information (i) which is or later becomes publicly known under circumstances involving no breach of this Agreement, (ii) which was already known to Promisor other than by previous disclosure to it by the Company, as evidenced by written documents in its files, (iii) which was independently developed by Promisor by persons not having access to the Confidential Information, or (iv) which is disclosed to Promisor by a third party having no obligation of confidentiality to the Company. It is further agreed and understood that specific information disclosed to Promisor by the Company shall not be deemed to be publicly known or in its prior possession by reason of the fact that it is embraced by more general information which is publicly known or in its prior possession. 3. Non-Disclosure and Non-Use of Confidential Information. Promisor (and any employee or person performing services for it) shall maintain in confidence and not publish or otherwise disclose to any person or use for any purpose other than evaluating the business opportunity all Confidential Information disclosed to it by the Company. Promisor agrees not to make any copies of any Confidential Information. Promisor represents and warrants that each of its officers, directors, employees and consultants to whom Promisor may disclose Confidential Information has executed an agreement with Promisor agreeing to maintain the confidentiality of information given to them, whether such information is owned by Promisor or by persons with whom Promisor is dealing. If Promisor contemplates any disclosure of Confidential Information to any party, including any person for whom Promisor is performing services or any party who is an affiliate of Promisor, Promisor shall obtain the prior consent of the Company, which it may give or withhold in its sole discretion. Such disclosure shall be conditioned upon the execution by such party of a confidential information agreement in content substantially similar to this Agreement. 4. Return of Information. All tangible materials received from the Company or generated by Promisor and containing Confidential Information shall be the property of the Company, and Promisor shall deliver all such materials to the Company upon request by the Company, and Promisor shall not use any such materials for any purpose other than evaluating the business opportunity. 5. No Violation. Promisor represents that Promisor's compliance with the terms of this Agreement will not violate any duty which Promisor may have to any other person or entity, including obligations concerning providing services to others, confidentiality of proprietary information and assignment of inventions, ideas, patents or copyrights. 6. General Provisions. This Agreement shall continue until terminated by written agreement of both parties. This Agreement, including the rights and obligations hereunder, shall apply to and benefit any successor to or transferee of the rights of the Company and shall apply to and bind the successors, assigns and legal representatives of Promisor. This agreement shall be governed by the laws of the State of Missouri, and no effect shall be given to the principles of conflicts of laws. This Agreement may only be amended or modified by a writing signed by both parties. If any portion of this Agreement is held to be invalid or unenforceable, the remaining provisions of the Agreement shall remain in full force and effect without the invalid or unenforceable provisions. Promisor agrees that the Company shall be entitled to seek injunctive relief in addition to damages for any breach of the terms of this Agreement.
